2.1. Main Formation Requirements

Establishing a company in Curacao involves the following main steps:

  • Deposit initial capital in a bank in Curacao
  • Engage a notary to draw up the deed of incorporation
  • Submit the deed to the Chamber of Commerce - the following information must be supplied:
    • Identification of the company directors
    • Full name of the company
    • The address of the company
    • The capital amount invested

Following the registration of the company, the following steps must be taken:

  • Register with the Tax Authorities for fiscal number, tax on wages, old age pension and widow and orphan pension
  • Register with the Social Security Bank for sickness and accident insurance for the employees
  • Register with the Department of labor

In addition to the above registration steps, companies need to apply for certain licenses in order to conduct business in Curacao. The main license is the Business and Manager's license, which is needed for most business types.

Other license types that make be required include:

  • Directors license for each non-resident managing director
  • Residence and working permits
  • Foreign exchange license
  • Building permit
  • Public nuisance permit
  • Permits for pharmaceutical companies, banks, restaurants, etc.
