Key steps to be followed for registering a company are:
- Applying for a unique company name at Business Registrations and Licensing Agency (BRELA)
- Obtaining a notarized declaration of compliance with the requirements for formation of the company
- Applying for incorporation of company alongwith relevant documents and obtaining the certificate of incorporation from Registrar of Companies
- Obtaining taxpayer identification number (TIN) from Tanzania Revenue Authority (TRA)
- Applying for a business license from either the Ministry of Industry and Trade (MIT) or Local Government Authorities (LGAs), depending on the nature of business
- Applying for VAT certificate from TRA
- Registering the company for the Workmen’s Compensation Insurance and the Occupational Safety and Health Authority (OSHA)
- Obtaining Social Security registration number from Social Security Regulatory Authority (SSRA)
For setting-up a branch of a foreign company, following documents are required:
- A certified copy of the charter, statutes or memorandum and articles of the foreign company or other instrument constituting or defining the constitution of the foreign company
- A list containing particulars of the directors and secretary of the foreign company
- A statement of subsisting charges created by the company related to property located in Tanzania
- Names and addresses of one or more persons resident in Tanzania authorized to act as the company’s representative
- Full address of the registered principal place of business and place of business in Tanzania
- A statutory declaration made by a director or secretary of the company stating the date on which the company’s place of business was established in Tanzania and the business that is to be carried out
- A copy of the recent financial statements of the foreign company
