Effective as of 9 June 2005, the Corporate Income Tax Act is amended in respect of the definition of residence of limited liability companies. — Orbitax Tax News & Alerts

Previously, a limited liability company was considered resident in Iceland upon registration with the Companies' Registrar. Other legal entities (associations, funds and foundations) are considered resident upon registration provided that the legal seat of the entity, according to the articles of association, is in Iceland or if the place of effective management is located in Iceland. According to the amendment, the residence of limited liability companies is defined in the same manner as that for other legal entities. Accordingly, all legal entities are considered resident for the purposes of the Corporate Income Tax Act if:

-   they are registered in Iceland;
-
the legal seat according to the articles of association is in Iceland; or
-   the place of effective management is located in Iceland.
