2.1. Main Formation Requirements

The establishment of the company types outlined in Sec. 1. involves a number steps and require registration/approval with multiple government agencies. The following outlines the basic requirements for establishment:

  • Open commercial bank account for the company, and deposit initial capital
  • Draft Articles of Association, which must include:
    • Form of the company
    • The purpose
    • The name
    • Acronym or abbreviation if needed
    • Location of registered office
    • The duration of the company
    • Amount of registered capital
    • Management organization
    • Rules governing distribution of profits
    • Conditions for winding-up and liquidation
  • File registration documents including the articles of association with the Registre du Commerce et du Crédit Mobilier (RCCM), Cameroon's companies’ registry.
  • Publish notice of incorporation with Cameroon's national legal journal, the Cameroon Tribune
  • Register with Direction Générale des Impôts, Cameroon's tax authority, for business license and tax identification number
  • Register employees with the Caisse Nationale de Prévoyance Sociale, Cameroon's social insurance fun

After a company is formed in Cameroon, an annual summary financial statement and a management report must be submitted.
